Cal-Maine Foods Acquires ISE America, Expanding Its Market

NEWBERRY — In a significant move for the egg production industry, Cal-Maine Foods, Inc. has announced the acquisition of ISE America, Inc. and several of its affiliates for around $110 million. The deal, confirmed recently, is expected to enhance Cal-Maine’s operations and reach in key markets.

Details of the Acquisition

Cal-Maine Foods, a leading producer and marketer of shell eggs in the United States, will fund the purchase using its available cash reserves. The assets obtained from ISE America include a variety of crucial facilities and resources:

  • Commercial shell egg production and processing facilities with an impressive capacity of approximately 4.7 million laying hens.
  • One million cage-free hens and 1.2 million pullets, which are young hens that haven’t started laying eggs yet.
  • Feed mills for grain processing, which are vital for poultry feed.
  • About 4,000 acres of land which will support farming operations.
  • Inventories related to egg production.
  • An egg products breaking facility, which processes eggs for various uses.

The acquisition also brings with it an established customer distribution network across the Northeast and Mid-Atlantic states. This includes production operations located in Maryland, New Jersey, Delaware, and South Carolina.

Strategic Growth and Future Plans

Sherman Miller, the president and CEO of Cal-Maine Foods, expressed excitement about the acquisition during a recent statement. He noted, “We are excited about the opportunity to significantly enhance our market reach in the Northeast and Mid-Atlantic states with the acquisition of these assets from ISE.”

This acquisition allows Cal-Maine to extend its operational capabilities and offer services to new customers in a region that has been largely untapped for the company until now. The addition of ISE’s assets will not only increase production capacity but also solidify Cal-Maine’s presence in the egg market in areas where they have not previously operated.

Miller further articulated the company’s appreciation for ISE America’s long-standing reputation in the egg production business, stating, “ISE has a long history in the egg production business and enjoys a solid reputation in the marketplace. We will continue to honor this important legacy as we build new connections and customer relationships.”

Integration of Operations

Cal-Maine Foods has a strong history of successfully integrating acquired operations and has plans to apply a similar model with ISE America. “We welcome the dedicated ISE operations team to the Cal-Maine Foods family and look forward to a successful integration. Working together, we have a unique opportunity to deliver greater value to both our customers and shareholders,” Miller said.

Impact on the Egg Market

The acquisition of ISE America marks a pivotal moment for Cal-Maine Foods as it seeks to strengthen its market position. The enhanced capacity and distribution capabilities are expected to help meet the growing demand for eggs while providing more sustainable farming practices through the inclusion of cage-free hens.

As the egg industry continues to evolve, this strategic acquisition positions Cal-Maine Foods to better compete in an increasingly competitive marketplace and adapt to consumer preferences for egg products.
